1. Acceptance of Terms

By registering for, accessing, or using Essential ("the Software"), you agree to comply with and be legally bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you and Essential. Your continued use of the Software signifies your acceptance of any modifications to these Terms.

2. License Grant and Restrictions

Subject to your compliance with these Terms, Essential grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for personal, non-commercial purposes only. A valid license key is required to activate and use Essential.

You expressly agree NOT to:

• Share, distribute, sell, lease, or transfer your license key to any third party
• Use the Software for any commercial purposes without prior written authorization
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Modify, adapt, translate, or create derivative works based on the Software
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software in any manner that violates applicable laws or regulations
• Attempt to bypass, disable, or circumvent any security features or access controls

3. Account Registration and Security

To use Essential, you must create an account using a valid license key. You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your account information remains accurate and up-to-date
• Notifying us immediately of any unauthorized access or security breaches

Essential employs HWID (Hardware ID) protection to secure accounts and prevent unauthorized access. Each license is tied to specific hardware configurations.

4. Subscriptions and Payments

Essential licenses are sold as subscriptions or one-time purchases. When you purchase a subscription:

• Subscriptions are billed on a recurring basis according to your selected billing cycle
• You authorize Essential to charge your payment method for applicable fees and taxes
• Subscription renewals occur automatically unless canceled before the renewal date
• You may cancel your subscription at any time through your account settings

5. Refund Policy

All sales are generally final. Refunds may be issued at our sole discretion under exceptional circumstances. Please note:

• Refund requests must be submitted within 7 days of purchase
• Accounts that receive refunds will be permanently blacklisted from future use
• License keys that are refunded will be immediately deactivated
• Repeated refund requests may result in account suspension

6. Acceptable Use Policy

You agree to use Essential in a responsible and lawful manner. Prohibited activities include, but are not limited to:

• Using the Software to harass, abuse, or harm other users
• Engaging in any activity that disrupts or interferes with our services
• Attempting to gain unauthorized access to our systems or other user accounts
• Distributing malware, viruses, or other malicious code
• Sharing cracked, pirated, or unauthorized versions of the Software
• Impersonating Essential staff, other users, or any third party
• Using the Software for any illegal or fraudulent purposes

7. Service Availability and Modifications

While we strive to maintain high availability, Essential is provided on an "as-is" and "as-available" basis. We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Software at any time
• Perform scheduled or emergency maintenance without prior notice
• Update or change features, functionality, or system requirements
• Implement new features or remove existing ones

We do not guarantee that the Software will be uninterrupted, error-free, or completely secure.

8. Termination of Service

Essential reserves the right to suspend or terminate your account and access to the Software immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms of Service
• Fraudulent or suspicious activity
• Chargebacks or payment disputes
• Sharing or selling your account or license
• Abusive behavior toward other users or staff

Upon termination, your right to use the Software will immediately cease, and you must discontinue all use.

9. Intellectual Property Rights

Essential and all related content, features, and functionality are owned by Essential and protected by international copyright, trademark, and other intellectual property laws. You acknowledge that:

• No ownership rights are transferred to you through your use of the Software
• All trademarks, logos, and service marks displayed are the property of Essential
• You may not use our intellectual property without prior written consent

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Essential disclaims all warranties, including but not limited to:

• Merchantability, fitness for a particular purpose, and non-infringement
• Uninterrupted, secure, or error-free operation
• Accuracy, reliability, or completeness of any content or information
• Compatibility with your hardware or software configuration

Your use of the Software is at your sole risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Essential SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from unauthorized access to your account or data
• Damages arising from service interruptions or technical failures
• Any damages exceeding the amount paid by you for the Software in the past 12 months

12. Indemnification

You agree to indemnify, defend, and hold harmless Essential and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Software
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you submit through the Software

13. Privacy and Data Collection

By using Essential, you acknowledge that we collect and process certain information, including:

• Account information (email, username, HWID)
• Usage data and performance metrics
• Technical information about your system configuration

This information is used solely to provide, improve, and secure our services. We do not sell or share your personal information with third parties for marketing purposes.

14. Updates to Terms

Essential reserves the right to modify these Terms at any time. When we make changes:

• The "Last updated" date at the top of this page will be revised
• Material changes will be communicated through email or in-app notifications
• Your continued use of the Software after changes constitutes acceptance of the new Terms

We encourage you to review these Terms periodically to stay informed of any updates.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of Essential shall be resolved through binding arbitration, except where prohibited by law.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
